Corporation Sole

On October 15, 2015, Tim Rohr defined "corporation sole" as an office of an institution rather than as a person.  According to Tim Rohr (the bold is mine):
Actually, we do know for certain. St. John's Seminary is a corporation sole - meaning it belongs to the office of the Archbishop of Los Angeles. We know this because The Diana herself gives us the link to the documentation. 

Let's take a look at what it says:
Corporation sole:
Like most Catholic diocesan seminaries St. John's is a "corporation sole," and the archbishop of Los Angeles is the "corporate sole," the single legal owner, who passes authority to his successor in office. At St. John's, the archbishop also serves as chair of the board of directors, which is legally an advisory group, not a board of trustees with final authority. Patrick Nichelson is president
..........As for my saying that a corporation sole does not have a board of directors, that's correct.  By definition that is what is meant by the term "sole."  A corporation sole is a "sole office, governed only by one person, namely the head of a church.

As anyone can see, Rohr defined corporation sole as an office governed only by one person, namely the head of a church.  By the way, the  definition of corporation sole is defined as "a Public office (created usually by an act of parliament) or ecclesiastical office (usually the owner of church land) that has a separate and continuing legal existence, and only one member (the sole officeholder)......"  

Wikipedia also defines corporation sole as "a legal entity consisting of a single ("sole") incorporated office, occupied by a single ("sole") natural person. A corporation sole is one of two types of corporation, the other being a corporation aggregate." 

Today, both Tim Rohr and Bob Klitzkie are now saying that I am in error without even realizing what Rohr wrote in 2015.  You see.....this is the reason why you should never ridicule someone as "humpty-dumpty."  Look who turned out to be "humpty-dumpty" after all.

  1. Hmmmm.....in 2015, Timmy said St. John's Seminary is a corporation sole. Now, he's saying it can't be cuz a corporation sole is a person????? Obviously, he's changing his story again.

      For all his intelligence, I was surprised that Klitzkie simply swallowed everything Rohr said. I would think that he would at least use a dictionary to look up "corporation sole" before making his humpty dumpty post. I guess not. I'm also still waiting for Mr. Klitzkie to tell Archbishop Byrnes that the Grant Deed is incorrect because it does not have the signatures of the RMS Board of Directors and Board of Guarantors. After all, even a real estate agent knows that the owner has to sign papers when giving up his property.

  3. Nothing of what Tim Rohr wroite in 2015 is in the least bit contradictory to what he and Bob Klitzke are saying. St. John's Seminary is not separately incorporated and is therefore simply an activity of the corporation sole, namely the Bishop.

    RMS is separately incoporated.

      Did you read the dictionary I quoted in the OP. It says (capitalization is mine):

      Corporation sole is defined as: "a Public office (created usually by an act of parliament) or ecclesiastical office (usually the owner of church land) that has a SEPARATE and continuing legal existence, and only one member (the sole officeholder)....."

      Did you see the word "separate" in there?

      Furthermore, this is what Rohr said in 2015:

      "....we do know for certain. St. John's Seminary is a corporation sole - meaning it belongs to the office of the Archbishop of Los Angeles."

      Today, this is what he stated:

      "Even if a "seminary" in California could be a corporation sole (it can't because corporation sole are actual persons),..."

    2. RMS is incorporate separately from the Archbishop - in other words, there are two corporations - one, a corporate sole (the Archbishop) and another, the Seminary, a separate incorporated body. Its actually not that hard to understand.

      In the case of ST John's , which is not incorporated, it falls under the activities of the corporate sole, the Archbishop.

  4. What does it matter now whether it's a corporation sole or not? Why not just accept that the RMS hotel is going to be sold. Everything is on the chopping block. Do material things matter? Is this what makes a church or is it the people which the Lord has chosen to Shepard? Do you think that the Lord would not of made this happen if he didn't want it to happen? The Lord has wiped out the earth before so what makes us think we know better?

    1. Why do you want to stand by and watch something good for the people of Guam, for Catholics on Guam, be taken away and do nothing to stop it or ask why? That is exactly how the Nazis were able to kill millions of Jewish people during the WWII. Ask why so that you know whether the decision to sell it is right or not...otherwise watch indifferently and pretend that there is nothing wrong with blind obedience.

      The purpose of this post is to simply show the deceit of the jungle. There is an important lesson to be learned here. In the first place, God did not wipe out the earth. He wiped out wickedness and saved only 8 righteous people, that of Noah and his family. God would not use deceit to destroy something. He allows deceit to happen only because He respects the free will of His creatures, but deceit in itself is a wickedness. It is that wickedness (deceit) that needs to be exposed and destroyed.

    3. Do you not think that brother tony and the neos have used deceit in order for the neos to "solely" use the RMS to benefit just themselves and no one else? What other Catholic groups have been allowed to use the hotel besides the neos? Let's be honest here. You preach deceit yet there's been lots of deceit just for this hotel.

    5. I can surely tell you that the laity (a separate Catholic group) was denied to even step onto the RMS hotel. So how is the RMS BENEFITTING the rest of the Catholic Church? Please don't continue the deceit.

      Those particular laity did not go there on a peaceful sight-seeing tour of RMS. They are the same people who want the seminary shut down and would take any opportunity to discredit it when they can. The other laity have no problems entering the seminary.

  6. diana look at what tim said in the comment section of the post when they showed at what happened to father wachs he said this As for what Lujan thinks, of course, he's David Lujan. He has a job to and he's doing it well. However, the canonical trial has nothing to do with Lujan's job. Lujan's job, as he has stated, is to get money for his clients.

  7. This is gonna be outside of the OP but I think its just pathetic how the LFM is having an appreciation BBQ this Sunday in Agat. Theyre gonna pass out CERTIFICATES OF APPRECIATION to all the picketers. They are just dumb. I would take that certificate and keep it in remembrance of how they destroyed the church. lmao!
    On a side note also. There was the recent raise of parish assessment fees owed to the chancery and those presenting at the meeting, mostly the finance officer and council mentioned that a good portion of it is to help Saint Francis school in their debt. Apparently there was some financial mishap there. I cant help but think about the Yona parish and how they were so vocal about not allowing the NCW into the parish now it seems as if we are being forced to help them. Maybe school and parish are separate but it smells the same for me.
    Maybe the PDN should do an inquiry into that, they read your blog anyways.

    So the JP II seminary has been shut down and the seminarians have moved off to Saint Patricks but now they are openly asking for donations. Doesnt make sense.

    One last thing, Did you know that when R. Untalan was removed from the finance council, he revenged it by blocking access to Saint Andrew Kim Parish, which had been gaining access to the parish through way of his parcel. I felt sorry for all the korean brothers and sisters, they felt the wrath that they did not deserve.

      I went to the jungle and I copied/pasted the actual sentence adding formatting for emphasis: "We'll be presenting an award button to everyone who picketed, even if it was just once!"

      I'm not sure how "award buttons" became "CERTIFICATES OF APPRECIATION." All you have to do is go to the jungle and check for yourself.

    4. Diana @ 0828: Frivolous? Maybe. BUT it's indicative of the fact that if Jokers Wild can lie about small things like certificates instead of buttons, he/she could also be lying about other things, like R. Untalan blocking access to the St. Andrew Kim church in the last paragraph.

Diana I'm guessing when the need came out about fr.wachs look at what the archdiocese say they said that they have no influence over the canonical trial I believe they are trying to get after The judges so they can get a guilty verdict and then on patty arroyo show she had a call by David Sablan and he was complaining about the seminary and when he was over guess what she did doing a disclaimer it doesn't involve his legal case
